Vanzy Driver Agreement

In plain English: You drive; we take 15%; you set your hours; you're self-employed (not our employee); you keep your vehicle and insurance valid; you can leave anytime. The full terms below are what a court would look at if anything went wrong — worth a read.
1. Who this agreement is between
This agreement is between:
- Vanzy ("the Company", "we", "us", "our"), a business operating the Vanzy platform at usevanzy.com; and
- You ("the Driver", "you"), an individual offering transport and moving services to the Company's customers.
By ticking the box that says you accept this agreement, you enter into a legally binding contract with Vanzy. If you do not accept, you cannot provide services through the platform.
2. You are an independent contractor, not an employee
This is a contract for services. You are an independent contractor. This means:
- You choose your own hours and decide which jobs to accept or decline.
- We do not supervise or direct how you perform the work.
- You are responsible for your own tax, National Insurance, and any pension contributions.
- You do not receive employee benefits such as sick pay, holiday pay, redundancy, or a workplace pension.
- You are free to work for other platforms, businesses, or customers without restriction.
- Accepting a job is always optional. We do not guarantee you any minimum number of jobs, hours, or level of income.
3. The services you provide
When you accept a job through Vanzy, you agree to provide:
- Safe transport of goods and items between the agreed pickup and dropoff locations.
- Loading and unloading where that is part of the agreed service tier.
- Professional, courteous conduct with customers.
- Proof photos at pickup and dropoff as requested by the platform, to protect both you and the customer.
You provide your own vehicle, fuel, mobile phone, data, and any tools or equipment you need. Vanzy provides the platform and handles payments from customers.
4. How you get paid
- Vanzy charges customers a fare for each job, calculated by the platform.
- Vanzy retains 15% of each fare as commission (the "Commission"). The remaining 85% is yours.
- We may change the Commission by giving you at least 30 days' written notice (including by email or in-app message). If you do not accept the change, you may close your account under clause 9.
- Payouts are processed weekly, every Friday, by bank transfer via Stripe Connect to the account you link to your Vanzy driver profile.
- Until you link a bank account, your earnings are held in a pending balance within your Vanzy account. You can withdraw at any time once a bank account is linked.
- If a pending balance remains unclaimed for 12 consecutive months after your last activity, Vanzy will notify you in writing and, if still unclaimed 30 days after that notice, may donate the balance to a UK-registered charity. This clause does not limit your right to claim the balance before that point.
- VAT: if you are VAT-registered, you are responsible for accounting for VAT on your earnings. Vanzy will provide a statement of fees paid on request.
5. What you must have to provide services
At all times while active on Vanzy, you must have:
- A full UK driving licence, with no current ban and no endorsements that would prevent you driving commercially;
- Valid motor insurance that covers Hire & Reward (H&R) use of your vehicle, or equivalent cover for the services you offer;
- Goods in Transit (GIT) insurance, or equivalent cover, for a minimum of £10,000 per load;
- A vehicle that is roadworthy, taxed, and holds a current MOT where required by law;
- The right to work in the United Kingdom;
- A smartphone capable of running the Vanzy app and a data plan sufficient to use it.
You must upload evidence of the above to the Vanzy platform and keep that evidence current. You must notify Vanzy without delay if any of the above lapses, is revoked, suspended, or becomes inaccurate. We may suspend your account at any time if we have reasonable concern that any of these requirements is not met.
6. Your obligations and liability
You are responsible for:
- Operating your vehicle safely and in compliance with all applicable laws, including road traffic laws and working-time rules that apply to you;
- The care of items you transport from the time you collect them until you hand them over at the dropoff;
- Any damage caused by your driving, your conduct, your handling of customer property, or by someone acting on your behalf;
- All tax, National Insurance, and any other statutory obligations arising from your earnings;
- Keeping your documents, insurance, and personal details accurate and up to date on the platform;
- Treating customers, Vanzy staff, and other drivers with respect.
Indemnity. You agree to indemnify Vanzy against any loss, claim, fine, penalty, or legal cost (including reasonable legal fees) that Vanzy incurs as a direct result of: (a) your driving, your conduct, or your handling of customer property; (b) your breach of this agreement or of any law or regulation while providing services; or (c) your failure to maintain valid licensing or insurance.
7. What Vanzy is and is not responsible for
Vanzy is responsible for:
- Operating and maintaining the Vanzy platform;
- Collecting fares from customers and paying your share in line with clause 4;
- Providing reasonable driver support through the platform.
Vanzy is not responsible for:
- Guaranteeing you any specific job, number of jobs, hours, or income;
- Your vehicle, your fuel, or any operating costs you incur;
- Losses arising from events outside Vanzy's reasonable control (such as platform outages caused by third-party services, customer no-shows, weather, or industrial action), beyond refunding any Commission we took on a job that did not happen;
- Disputes between you and a customer, beyond making available the evidence (such as route, timestamps, and proof photos) the platform recorded.
Nothing in this agreement limits or excludes liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded under the law of England and Wales.
8. Conduct, suspension, and removal
We may suspend or terminate your access to the platform, with or without notice as the circumstances reasonably require, if:
- You fail to maintain any requirement in clause 5;
- You breach this agreement;
- You receive serious, repeated, or evidence-based complaints from customers or other drivers;
- You engage in fraudulent, unsafe, threatening, discriminatory, or unlawful behaviour on or off the platform that relates to the services;
- You are charged with or convicted of an offence that makes you reasonably unsuitable to transport customer property, or that presents a risk to customers or the public.
Where we suspend your account, we will tell you why and, where possible, what steps would resolve the suspension.
9. Ending the agreement
You may end this agreement at any time by closing your account via the Vanzy app or by writing to us.
We may end this agreement:
- Immediately, by writing to you, for serious or repeated breach of this agreement;
- By giving you at least 7 days' written notice (including by email or in-app message) for any other reason.
When this agreement ends:
- You must stop providing services through the platform;
- We will pay any earnings you are owed, less any amounts you owe us, in the next scheduled payout;
- We will close your account and retain your data only for as long as the law requires or allows (see clause 10);
- Clauses that are intended to survive termination (including indemnity, liability, and governing law) will continue to apply.
10. Your data
Vanzy processes your personal data under UK GDPR and the Data Protection Act 2018 as set out in our Privacy Policy. By accepting this agreement you confirm you have read that Privacy Policy.
11. Changes to this agreement
We may update this agreement from time to time. We will give you at least 30 days' written notice of any material change by email or in-app message. If you continue to use the platform after the change takes effect, you accept the updated version. If you do not accept, you may end the agreement under clause 9.
12. General
- Governing law: this agreement is governed by the laws of England and Wales. Any dispute arising out of it will be decided in the courts of England and Wales.
- Severability: if any part of this agreement is found unenforceable, the rest continues in force.
- Entire agreement: this document, together with our Privacy Policy and any commercial terms shown in the app, is the entire agreement between you and Vanzy about providing services through the platform. It replaces any earlier discussions or promises.
- No transfer: you may not transfer your rights or duties under this agreement to anyone else without our written consent.
- No waiver: if we choose not to enforce a right under this agreement on one occasion, that does not mean we give up the right.
- Third parties: no-one other than you and Vanzy has any rights under this agreement under the Contracts (Rights of Third Parties) Act 1999.

By ticking the agreement box on signup or job acceptance, you confirm that:
you have read this agreement; you understand you are an independent contractor and not an employee or worker of Vanzy; you meet the requirements in clause 5 (or will before your first job); and you agree to be bound by this agreement.
